By accessing or using ChefXi ("the Platform"), you agree to be bound by these Terms of Service, our Privacy Policy, Refund Policy, and (if you register as a chef) the Creator Agreement (collectively, the "Agreement"). If you do not agree to these terms, do not use the Platform. These Terms constitute a legally binding agreement between you and ChefXi, a series of CrewXI LLC, a Texas limited liability company.
You must be at least 16 years old to create an account. By creating an account, you represent that you meet this age requirement. You are responsible for maintaining the confidentiality and security of your account credentials. You may not use another person's account without their permission. You are responsible for all activity that occurs under your account.
You agree to provide accurate and complete information when creating your account and to keep this information up to date. We reserve the right to suspend or terminate accounts that contain false or misleading information.
ChefXi offers paid subscriptions to individual chef creators. Subscription fees are billed in advance on a recurring basis (monthly or yearly). You authorize us to charge your payment method on each billing date. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods, except as described in our Refund Policy.
Chefs may change their subscription pricing at any time. Price increases for existing subscribers take effect at the start of the next billing cycle, and you will be notified in advance. If you do not agree to a price increase, you may cancel before the new price takes effect.
Chefs retain full ownership of all content they create and publish on ChefXi, including recipes, meal plans, cookbooks, and digital products. By posting content, chefs grant ChefXi a non-exclusive, worldwide, royalty-free license to display, distribute, host, store, reproduce, and promote their content on and through the Platform, including in marketing materials and social media. This license ends when the chef removes the content or closes their account, subject to reasonable caching and backup periods of up to 30 days.
By posting content on ChefXi (including comments, reviews, community posts, cooking progress updates, photos, and messages), you grant ChefXi a non-exclusive, worldwide, royalty-free license to use, display, reproduce, modify, and distribute that content in connection with operating the Platform. You represent that you have all necessary rights to the content you post.
Users may not reproduce, redistribute, resell, or publicly display content obtained through subscriptions without the chef's explicit written permission. All trademarks, logos, and service marks displayed on the Platform are the property of their respective owners. The ChefXi name, logo, and branding are trademarks of CrewXI LLC.
ChefXi uses artificial intelligence technology to generate certain content on the Platform, including but not limited to recipes, meal plans, community posts, and cooking tips. AI-generated content is produced by third-party AI models and published under chef profiles that utilize ChefXi's AI features (such as Alive Mode and AI Assistant).
AI-generated content is provided for informational and entertainment purposes only. ChefXi does not guarantee the accuracy, completeness, safety, or nutritional correctness of AI-generated recipes or content. Users should exercise their own judgment when following AI-generated recipes, particularly regarding food allergies, dietary restrictions, and food safety practices.
AI-generated content may be labeled as such where required by applicable law. The use of AI features by chefs is governed by the Creator Agreement.

ChefXi offers two creator tiers with different fee structures:
In both tiers, standard Stripe payment processing fees (typically 2.9% + 30¢) are absorbed by ChefXi and do not reduce chef payouts. Chefs receive their gross subscriber payment minus only the platform fee. Chefs may upgrade or downgrade between tiers at any time. Downgrades take effect at the end of the current billing period. Full details are provided in the Creator Agreement.
ChefXi respects the intellectual property rights of others and expects users to do the same. If you believe that content on the Platform infringes your copyright, you may submit a Digital Millennium Copyright Act (DMCA) takedown notice to our designated agent.

If your content was removed due to a DMCA notice and you believe the removal was in error, you may file a counter-notification. We will process counter-notifications in accordance with the DMCA. Repeat infringers may have their accounts terminated.
We may suspend or terminate your account if you violate these terms, engage in fraudulent activity, or for any other reason at our sole discretion, with or without notice. You may delete your account at any time through your account settings.
Upon termination: (a) your right to access the Platform ceases immediately; (b) any active subscriptions will be cancelled; (c) your data will be handled in accordance with our Privacy Policy; (d) provisions of these Terms that by their nature should survive termination will survive (including Sections 4, 5, 9, 10, 11, 12, 13, 14, and 15).
THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not guarantee the accuracy of nutritional information, cooking times, allergen data, or other recipe information provided by chefs or generated by AI. Users follow recipes at their own risk. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CHEFXI AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM. IN NO EVENT SHALL CHEFXI'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO CHEFXI IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
NOTHING IN THESE TERMS SHALL LIMIT OR EXCLUDE LIABILITY FOR: (A) DEATH OR PERSONAL INJURY CAUSED BY NEGLIGENCE; (B) FRAUD OR FRAUDULENT MISREPRESENTATION; OR (C) ANY OTHER LIABILITY THAT CANNOT BE LIMITED OR EXCLUDED BY APPLICABLE LAW.
You agree to indemnify, defend, and hold harmless ChefXi, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property rights; or (d) any content you post on the Platform.
Any dispute arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall take place in Houston, Texas, or at another mutually agreed location. The arbitrator's decision shall be final and binding.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If this class action waiver is found to be unenforceable, then the entirety of this arbitration provision shall be null and void.
Exceptions: Either party may bring claims in small claims court if eligible. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions. For any matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Texas.
These Terms, together with the Privacy Policy, Refund Policy, and (for chefs) the Creator Agreement, constitute the entire agreement between you and ChefXi regarding your use of the Platform and supersede all prior agreements.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be enforced to the maximum extent permissible, and the remaining provisions will remain in full force and effect.
The failure of ChefXi to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
You may not assign or transfer your rights under these Terms without our prior written consent. ChefXi may assign its rights and obligations under these Terms without restriction.
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or a prominent notice on the Platform at least 30 days before taking effect. Your continued use of the Platform after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Platform.
